We participated in the preparation of CVM Instruction 588, which regulated crowdfunding of investments in Brazil. In addition, we are banking correspondents of Banco Topázio and act as intermediaries for credit operations, under the regulations of the central bank.

 

 

What is URBE.ME?

URBE.ME is an online collective investment platform focused on the real estate sector, which simplifies and makes real estate investment accessible to everyone.

What are the advantages of collective investment?

By investing collectively using the URBE.ME platform, you participate in a market that was previously accessible only to large investors. Investing from R$1,000.00, you participate in a large sector of the economy, with great investment opportunities and attractive profitability.

Why is it good for both the small and the large investor?

The traditional format of investment in real estate development has a high minimum investment and is conditioned to the existence of a close relationship between the investor and the developer, facts that prevented the small investor from participating in this market. Through URBE.ME, small investors have access to these previously restricted opportunities, since the minimum investment of the platform is only R$1 thousand.

 

Who can invest?

Any individual, adult or legal entity that has available reserves for investment may invest.

 

How does it work?

The investor registers in the platform, makes an investment reserve in the desired amount and confirms the contribution by making the transfer of funds through TED or DOC.

 

It is worth mentioning that URBE.ME works with two legal models for structuring the projects that go live on the platform. One of them works without intermediaries, and when making the investment you receive a contract signed directly with the developer (Model CVM 588). In the second model, the URBE.ME acts as a Banking Correspondent for a financial institution, and you receive an investment security issued by the bank (Model BACEN OAV 2.921).

When can I invest?

You can invest whenever projects are available. The period during which the offer is available for investment is usually 20 days, but may be shorter or longer, depending on the developer's capital needs and the availability of investment quotas on the platform.

 

Is there an investment limit?

Model CVM 588: if the investment is higher than R$ 10,000.00, CVM has a rule that limits to 10% of the value of the self-declaration of annual income or net worth of the investor.

Model OAV BACEN 2.921: No, but the investment must be made with prudence, according to its risk profile, expected return and liquidity needs, therefore pay attention to these factors when making its contribution.

 

Can I make more than one reservation on the same project?

Yes, you can make more than one reservation and contribute to each project. You can track separately the contributions made in a detailed manner in your Investor Panel for the respective project.

 

What am I doing getting a share?

Model CVM 588: you acquire a security that grants you the right to a stake in the VGV (General Sales Value) of the enterprise. This title, in the form of a loan contract, will be your guarantee against any unforeseen event.

Model OAV BACEN 2.921: you acquire a security issued by a financial institution, called CDBV (Binding Bank Certificate of Deposit). This security is linked to a debt of the enterprise in which you are investing with the partner financial institution. In addition, there is a parallel contract that links this operation to the VGV (General Sales Value) of this enterprise.

It is important to note that the CDBV is not covered by the FGC (Credit Guarantee Fund).

 

When will I receive my title?

Your bond will be issued within 15 business days after the end of the funding period and will be made available on your investor panel in the specific project.

 

Can I finish my investment before the deadline?

Yeah, you can sell your share. To do so, just send an e-mail to [email protected] with the amount you want to offer. Its shares will initially be offered to the developer, to other investors in the project or to a third party. This transfer of investment, however, will depend on the interest of any of these persons in taking their position and there is no guarantee from URBE.ME that this will happen.

 

Can I invest off-line?

No, investments are made exclusively online. If you have any questions on how to proceed, you can contact URBE.ME by phone and we will be happy to guide you through each step.

 

How much can I invest?

The minimum investment is R$1,000.00. The maximum is the limit of funding available for the enterprise. The investments must always be in multiples of R$1,000.00.

 

When can I invest?

You can invest whenever projects are available. The period during which the offer is available for investment is usually 20 days, but may be shorter or longer, depending on the developer's capital needs or expire earlier if the available shares are exhausted. Also, be aware that offers can be divided into more than one series with a few different characteristics.

 

What are series and how do they work?

Series are subdivisions of offers. Each offer can have one or more series so that, depending on the date you make the investment, it will have slightly different characteristics. The projected profitability and the share in the PSV will be the same, since the enterprise in which you invest is the same regardless of the series, but the minimum guarantee or remuneration for unmarketed units, for example, may vary. To know the specific characteristics of the enterprise in which you want to invest, just click on the "Operation characteristics" tab on the enterprise's page.

 

What is the return on investment?

The profitability of each venture may vary according to project factors and market variations. Each project has in its description the expectations of return based on the feasibility study. A good viability will seek rates equal to or higher than the SELIC* (reference interest rate). *There are no guarantees of return on the expected interest rates, URBE.ME has no interference on the projects or expected interest rates, and does not guarantee the expected yields. Carefully read the prospectus and project regulations before investing.

 

Is the return to the investor calculated from the result of the venture, subject to the cost of construction, marketing, among others? What is the calculation "formula" for the investor's return?

No. The return depends only on the General Sales Value (PSV) of the enterprise, and not on the developer's profit. By making an investment, the investor acquires the right to a share in the VGV of the project, which will be proportionate to the value invested. The investor's return respects the following formula: Return = VGV (in R$) * Investor participation.

 

How will I receive the return on my investment?

After the beginning of the sales of the real estate units, the results will be calculated quarterly and the transfer will be made at the end of the maturity of the contract, as indicated in each project. No redemption is required, the transfer is made automatically to the account indicated by the investor.

Why is the transfer (TED) not made directly to the entrepreneur?

CVM Model 588: By CVM rule, the money cannot be under the custody of URBE.ME or the entrepreneur until the end of the funding, so we use a partner payment company to keep the resources during the offering. Once the fundraising round is over, the funds are then passed on to the entrepreneur.

 

Model BACEN OAV 2.921: In this case, the bank, as intermediary of the operation, is the one that must transfer the resources to the developer, therefore, during the funding period, the resources remain in an account owned by URBE.ME in the partner financial institution. Once the fundraising round is over, the funds are then passed on to the entrepreneur.

 

Is it safe to invest online?

The investment is made via TED or DOC from an account owned by the user. The investor receives proof of his investment and the resulting sums are deposited exclusively in an account held by him.

Does this modality comply with the legislation?

Before being launched, each project goes through a rigorous analysis of URBE.ME (where less than 5% of the projects are approved) and then being in accordance with the current rules, the project is released for funding.

Model CVM 588: URBE.ME is regulated by CVM and was the first collaborative investment platform to register in Brazil.

Model OAV BACEN 2.921: URBE.ME is a banking correspondent of Banco Topázio. We intermediate the loan relationship with entrepreneurs and distribute CDBV securities to interested investors.

Is my investment protected?

All the developments made available in URBE.ME must be registered under segregate assets. Affectation equity is an instrument that consists of separating the assets of the development from the assets of the developer, providing investors with certainty about the destination of the funds invested in the project. This is a further guarantee to the investor that the venture will be completed.

In case of any unforeseen event, such as stoppage, interdiction or delays in the work, as well as the insolvency of the entrepreneur, do I lose all the invested capital?

CVM Model 588: In the event of bankruptcy, receivership or insolvency of the acquiring company, you will be included in the list of creditors to recover your investment. In the event of the developer suspending the work, the company is obliged - by force of contract - to return the resources updated by the minimum contractual guarantee established in its loan contract. At URBE.ME there is always a minimum guarantee, but it can vary depending on each project and the series in which the investment took place, always being a percentage of the CDI.

Model OAV BACEN 2.921: if the developer fails to pay the debt after a certain period, the credit claim, which was the partner financial institution, will be transferred to URBE.ME. From this moment on we will be responsible for charging the developer and passing the money on to the investors as soon as the payment is made.

In the event of bankruptcy, receivership or insolvency of the developer, the partner financial institution or URBE.ME will be included in the list of creditors.

What are the risks involved in the investment?

The return on your investment varies according to the specific description of each project and always depends on the payment of the debt by the developer. It is advisable to carefully evaluate all the information provided by the entrepreneur, so that each investor can make its own assessment of the risk X opportunity ratio.

Where am I transferring the money?

Model CVM 588: The money is retained in the account of a company of payments partner of URBE.ME, by requirement of the CVM, and will only be transferred to the account of the developer after the issuance of loan contracts.

Model OAV BACEN 2.921: The money is retained in an URBE.ME account with the partner financial institution, and will only be transferred to the developer's account after the securities have been issued.

Based on which criteria are projects selected for the platform?

The projects are selected based on three fundamental pillars: financial health and experience of the developer, economic viability of the project and positive urban impact.

 

Can I perform TED?

Yes, it's one of the possible ways to transfer your contribution. The transfer shall be made from an account held by the transferee. If it is a joint account, you must send proof of the transfer and the joint account to [email protected]

My TED limit does not allow me to deposit the total amount of the reservation, what can I do?

If the TED limit on your bank account is less than the amount of your reservation, you can divide the amount into two or more transfers until you complete the amount booked. Keep in mind that, in this case, the deadline for the approval of your reservation is 1 business day after the last installment of funds has been entered in the account for receiving the contributions.

Can I perform DOC?

Yes, it's one of the possible ways to transfer your contribution. The transfer shall be made from an account held by the transferee. If it is a joint account, you must send proof of the transfer and the joint account to [email protected]

 

Why is it different from a real estate fund?

Using the URBE.ME platform, you invest with larger projected returns, directly in a single enterprise, choosing the one in which your neighborhood and your city are valued, or with which you identify yourself. Because it is a single enterprise, control and transparency over it are also facilitated.

What is my responsibility about the development?

Because it is a loan to the company that will develop the venture, the investor has no civil, corporate, labor or other liability over the venture. All these responsibilities fall exclusively to the entrepreneur. The investor is only interested in two aspects: the sales value of the units and the speed of sales. The higher the sales value within the expected time frame, the higher the profitability of the investment.

What happens if the value to be captured is not reached?

If the minimum amount to make the venture feasible is not reached, the amount invested will be returned to the investors, directly in the registered account.

What happens when the capture is stopped?

At the time the funding is closed, the investment security of the participants will be issued. Within 20 working days, an electronic version of the document will be sent, which has the same legal validity as the physical version. The document, digitally signed by the developer and two witnesses, will be on your panel for the duration of the project and you can download it to your computer if you wish.

What happens if all real estate units are not sold within the term of the contract?

The amount referring to the remaining units will be remunerated at 100% of the CDI accumulated in the period.

 

How will my investment be taxed and how will I declare this in my income tax?

Model CVM 588: your investment is considered a loan to the developer. Therefore, the tax is withheld directly at source, i.e., the collection of the tax is the responsibility of the developer. You must declare your investment in the "Goods and rights" section as a loan, classifying it as "income subject to exclusive source taxation". An income statement will be sent to each investor for income tax reporting purposes.

Model OAV BACEN 2.921: your investment is taxed in the same way as a CDB, thus the rate is discounted directly at source. It should be declared under 'assets and rights' under 'Fixed income application'. An income statement will be sent to each investor for income tax reporting purposes.

What will be the rate of this taxation?

An investment by Urbe.me is subject to the same tax rules as any fixed income investment. The rates apply only to the capital gain (interest), are decreasing and apply according to the terms described in the table below.

Up to 6 months - 22.5%.

From 6 to 12 months - 20.0%

From 12 to 24 months - 17.5%.

From 24 months onwards - 15.0%
